Glossary: Articles of Incorporation
The articles of incorporation are the primary legal document of a corporation and serve as a corporation's constitution. The contents thereof are prescribed in the general incorporation statutes, and commonly include the corporation's: name, period of existence, purpose and power, authorized number of shares, classes of stock, and other conditions of operation. After approving the articles, the state issues a Certificate of Incorporation the two documents together become the Charter of Incorporation.
